Metsera Bets on Monthly GLP-1; Pfizer Paid ~$10B

Metsera bet on ultra-long-acting GLP-1; after 14.1% weight loss data, Pfizer raised bid to ~$10B, closing 2025-11-13.

Metsera

The betBet that ultra-long-acting GLP-1 enables monthly dosing and better tolerability; platform and convenience justified $10B.No longer exists

What the business is

Metsera develops new drugs for weight loss and metabolic disease: it is developing injectable and oral nutrient-stimulating hormone (NuSH) analog peptides, with lead asset MET-097i being an ultra-long-acting GLP-1 targeting once-weekly or even once-monthly dosing; the pipeline also includes amylin analog MET-233i and two oral GLP-1 candidates.

Starting capitalSeries A $290M (2024-04) + Series B $215M (2024-11); IPO raised about $275M (priced 2025-01-30, $18 per share).

How it started

In 2022, Arch Venture Partners and Population Health Partners founded Metsera during the biopharma funding winter, targeting next-generation weight-loss and metabolic-disease drugs; in 2024-04, it emerged from stealth with a $290M Series A, and in 2024-11 raised $215M in Series B; on 2025-01-30, it priced its IPO at $18 per share, and the next day listed on Nasdaq (纳斯达克) under MTSR, raising about $275M.

What happened

Pipeline core MET-097i is an ultra-long-acting GLP-1 (HALO platform, half-life about 380 hours): in 2025-09, results from the 239-participant VESPER-1 Phase 2b were released, with the highest dose of 1.2mg given weekly for 28 weeks achieving 14.1% placebo-corrected weight loss, individual subjects exceeding 26%, and only 2 participants discontinuing due to adverse events. On 2025-09-22, Pfizer first announced an acquisition at $47.50 per share (base value about $4.9B, plus up to $22.50 per share in milestone payments); on 11-07, it revised the offer to $65.60 per share in cash plus up to $20.65 in CVR, for a total equity value of about $10B, and on 11-13 the transaction was completed.

How it ended up

Acquired: Metsera was merged into Pfizer on 2025-11-13, becoming a wholly owned subsidiary and delisting; MET-097i was renamed PF-08653944 (PF'3944). The VESPER-3 monthly-dosing Phase 2b top-line results released in 2026-02 showed that the highest-dose group achieved 12.3% placebo-corrected weight loss over 28 weeks; Pfizer included the 9.6mg monthly maintenance dose in Phase 3 and planned about 10 Phase 3 trials.

Background

Metsera develops new drugs for weight loss and metabolic disease; lead asset MET-097i is an ultra-long-acting GLP-1 receptor agonist: the HALO lipidation platform extends the half-life to about 380 hours, targeting once-weekly or even once-monthly dosing, and the pipeline includes oral GLP-1 and amylin analog MET-233i.

The company was founded in 2022 by Arch Venture Partners and Population Health Partners during a funding winter; in 2024-04, it emerged from stealth with a $290M Series A, and in 2024-11 raised $215M in Series B; on 2025-01-30, it priced its IPO at $18 per share, and the next day listed on Nasdaq under MTSR, raising about $275M.

In 2025-09, Metsera released top-line results from the 239-participant VESPER-1 Phase 2b: MET-097i at the highest dose of 1.2mg given weekly for 28 weeks achieved 14.1% placebo-corrected weight loss, individual subjects exceeded 26%, and only 2 participants discontinued due to adverse events. On 09-22, Pfizer announced an acquisition at $47.50 per share (base value about $4.9B, plus up to $22.50 per share in milestones); on 11-07, it revised the offer to $65.60 per share in cash plus up to $20.65 in CVR, for a total equity value of about $10B, and on 11-13 the deal closed.

After the acquisition, MET-097i was renamed PF-08653944 (PF'3944) and became the anchor of Pfizer's weight-loss pipeline: the 2026-02 VESPER-3 Phase 2b top-line showed that, after switching to monthly dosing, the highest-dose group achieved 12.3% placebo-corrected weight loss over 28 weeks; Pfizer accordingly included the 9.6mg monthly maintenance dose in Phase 3 and planned about 10 Phase 3 trials.

What has to be true

  • Clear differentiation: convenient dosing (weekly to monthly, injection to oral) addresses adherence pain point.
  • Fast clinical cadence: stealth 2024, listed 2025, Phase 2b data September; milestones drove valuation.
  • Platform assets more valuable: Pfizer bought MET-097i plus HALO/MOMENTUM platforms, willing to pay premium.
  • Clear buyer need: Pfizer's oral GLP-1 failed twice; acquisition only fast path, so bid reached ~$10B.

What can be applied

Differentiate via dosing frequency: half-life engineering plus monthly dosing rewrites user experience; prove quantifiable metric, and valuation follows.

Aftermath

As of 2026-09-01: Pfizer completed the acquisition of Metsera on 2025-11-13, and Metsera was delisted and integrated into Pfizer; MET-097i (PF-08653944 / PF'3944), as the core of Pfizer's weight-loss pipeline, is proceeding as planned with about 10 Phase 3 trials (VESPER-4/5/6, etc.) after positive VESPER-3 monthly-dosing top-line results, including a 9.6mg monthly maintenance dose regimen.
