What the business is
A vertical software and InsurTech company selling insurance, warranty and home services around the moments of buying a home; NASDAQ: PRCH.
The bet
That catching borrowers at the mortgage application funnels them into insurance, warranty and moving services — Floify's 70% purchase-transaction mix was the entry.
Starting capital
$76.5 million of cash plus $10 million of Porch stock at closing, with a guaranty that sellers' retained shares double in value by the end of 2024.
How it started
Floify, based in Boulder, helped mortgage companies and loan officers automate origination: collecting and verifying borrower documentation, tracking loan progress, and communicating with borrowers and agents. By 2021 it had grown ARR at a 72% CAGR since Q1 2017, counted more than 1,500 companies as users, and posted 130% annual net revenue retention as of Q2 2021 — company figures disclosed in the SEC-filed release. It was profitable, with virtually all revenue in recurring B2B software fees.
What happened
Porch announced the acquisition on October 27, 2021: $76.5 million of cash and $10 million of Porch common stock, with an unusual sweetener — Porch guaranteed the sellers that the retained stock would double in value by the end of 2024, a guaranty marked to market quarterly through its P&L. Floify was expected to contribute about $2 million of revenue to Porch for the balance of 2021 and $15 million of recurring B2B SaaS revenue in 2022, at margins similar to Porch's overall business.
How it ended up
The deal gave Porch entry to mortgage origination and early access to high-intent homebuyers — roughly 70% of Floify's 2021 transactions were home purchases — to cross-sell insurance, home warranty, moving and connectivity services, deepening a stack that already touched home inspectors, title companies and movers.
What has to be true
Porch's whole model is intercepting homebuyers at service moments; the mortgage application is the earliest high-intent moment it didn't own.
Floify brought profitable, nearly-all-recurring revenue with 130% net revenue retention, rather than a burn-rate acquisition.
The stock guaranty doubled sellers' upside without raising the cash consideration — a structure for paying a private target partly in trust.
77,000 applications a month gave Porch a measurable funnel to attach insurance, warranty and moving services from day one.
What can be applied
Marketplaces of intent are bought, not built: owning the software touchpoint where customers enter monetizes all downstream services — but watch the price of guarantees bridging valuation gaps.
Aftermath
As of October 27, 2021, Porch had announced the completed acquisition and folded Floify into its home services stack, guiding to $2 million of 2021 revenue and $15 million in 2022, with the stock guaranty running to end-2024 and quarterly mark-to-market effects flowing through its P&L. Management said Floify would operate at margins similar to Porch's overall business.
