What the business is

Prior Labs builds TabPFN, an open-source tabular foundation model that makes instant predictions from spreadsheets and databases — a pre-trained alternative to bespoke AutoML pipelines for enterprise data.

Starting capital€9M pre-seed (announced February 2025), led by Balderton Capital and XTX Ventures, with Atlantic Labs and angels including Black Forest Labs co-founder Robin Rombach and Hugging Face co-founder Thomas Wolf.

How it started

In 2024 Frank Hutter — a University of Freiburg professor and leading AutoML researcher — co-founded Prior Labs with Noah Hollmann and Sauraj Gambhir. Their starting point was TabPFN research from Hutter's group: a transformer that treats tables the way LLMs treat text, making predictions from tabular data in seconds without training a bespoke pipeline for each problem. In February 2025 the company announced a €9M pre-seed led by Balderton Capital and XTX Ventures.

What happened

Prior Labs stayed research-led and open-source: its TabPFN model series was published in Nature, downloads passed 3 million, and TabPFN-2.6 ranked first on TabArena, the public benchmark for tabular foundation models. SAP had been working on its own enterprise relational foundation model, and on 4 May 2026 announced a definitive agreement to acquire Prior Labs outright, with the purchase price undisclosed.

How it ended up

The acquisition closed on 17 July 2026: Prior Labs remains an independent unit under its three co-founders, keeping its brand and open research, while SAP committed more than €1 billion through 2030 to build it into a frontier AI lab for structured business data — an exit roughly 18 months after the €9M pre-seed.

Background

Prior Labs is a Freiburg-based startup, founded in 2024 by University of Freiburg professor Frank Hutter with Noah Hollmann and Sauraj Gambhir, that builds TabPFN — an open-source tabular foundation model making instant predictions from spreadsheets and databases. Its thesis was that business data is mostly structured tables, and that this data deserved foundation models of its own rather than being squeezed through text-focused LLMs.

The company grew out of Hutter's AutoML research, raised a €9M pre-seed led by Balderton Capital and XTX Ventures in February 2025, and stayed deliberately research-led: its models were published in Nature, downloads passed 3 million by May 2026, and TabPFN-2.6 ranked first on TabArena, the public benchmark for tabular foundation models. Reported users ranged from Hitachi predicting train failures to TD applying the model to financial forecasting.

On 4 May 2026 SAP announced a definitive agreement to acquire Prior Labs, and the deal closed on 17 July 2026. SAP's CTO Philipp Herzig framed it as a bet on structured data over language models, saying the greatest untapped opportunity in enterprise AI was AI built for the data that runs the world's businesses. The purchase price was not disclosed, but SAP committed more than €1 billion through 2030 to expand Prior Labs into a frontier AI lab for structured business data.

Prior Labs keeps its brand, leadership and open-research posture inside SAP, with plans to keep publishing and releasing models while SAP routes the research into its AI Core, Business Data Cloud and Joule products. For the founders, the path ran from a €9M pre-seed to a €1B-plus corporate commitment in roughly 18 months.

What has to be true

  • Prior Labs chose an ignored slice of AI — tabular data — where a transformer approach could beat four-hour AutoML pipelines instantly, giving it a defensible claim rather than another me-too LLM.
  • Staying open-source and benchmark-led built credibility fast: millions of downloads and a first-place TabArena ranking became evidence no sales team could have manufactured.
  • Academic pedigree plus a deliberate founding team — a professor, an operator and an M&A/VC hand — let the company stay focused from paper to product to exit.
  • SAP had identified structured data as its strategic gap; buying the category leader was faster and more credible than catching up internally — hence the €1B+ research commitment.

A research spinout can define a category by staying open and benchmark-led; the exit came when SAP realized structured-data AI mattered — and paid €1B+ to own the leader.

Aftermath

As of 22 July 2026 Prior Labs operates as an independent unit inside SAP under co-founders Frank Hutter, Noah Hollmann and Sauraj Gambhir, with Yann LeCun and Bernhard Schölkopf on its scientific advisory board. SAP plans to integrate TabPFN research into SAP AI Core, SAP Business Data Cloud and the Joule agentic layer while the lab keeps its open-source publishing model; TabPFN downloads reached 4 million in July 2026. The open question is whether an acquisition this fast preserves the research culture SAP paid to own.
