Truth Social is an alternative social media platform positioning itself as a safe haven from 'Big Tech censorship,' owned by Trump Media and Technology Group

That Truth Social — the platform Trump founded after being banned from Twitter and Facebook — could grow into a business that funds itself

Trump Media and Technology Group was founded in 2021; Truth Social launched in February 2022 after Trump was banned from major platforms following January 6, branding itself as a refuge from 'Big Tech censorship.'

By November 2023 the SPAC taking it public — Digital World Acquisition Corp — filed that TMTG's negative cash flow and persistent losses raised 'substantial doubt' about its ability to continue, that the merger had become 'an existential necessity,' and that without it TMTG might be unable to 'fully develop' Truth Social. The filing also flagged Trump-dependence risk: if Trump stopped devoting 'substantial time' or lost the public's interest, finances would suffer more.

Revenue of $1.4-2.3 million a half-year against $23-59 million of losses is not a commercial engine; the merger was the business plan.

The 2022 'profit' arrived on just $1.4 million of sales, making the operating picture plain even in the best year.

The company's main asset — Trump's daily presence — was disclosed as a single point of failure.

X's pivot to free speech undercut the differentiation the whole brand was built on.

When a company's own merger partner files that only the merger can save it, the SPAC is not an exit anymore — it is life support with a shareholder vote.

As of November 16, 2023: the S-4 was filed and the merger vote process was moving; TMTG remained private, dependent on the DWAC merger for capital to pay down debt and keep operating. The disclosure came as Trump led 2024 Republican polling while facing four criminal indictments.
