D2C men's grooming brand — fragrances, hair, face and beard care — run by Happily Unmarried, with around 67% of sales online

That advertising at a quarter of total expenditure could push Ustraa past Emami- and Marico-owned rivals The Man Company and Beardo before the cash math caught up

Ustraa, an about-eight-year-old brand of Delhi-based Happily Unmarried, rode India's D2C grooming wave with fragrances, hair care, and face and beard products sold mostly online.

In FY23 revenue from operations grew 47% to Rs 97 crore, but expenditure rose 45.3% to Rs 138 crore — advertising alone was Rs 35 crore, about a quarter of total spend — and losses widened 43% to Rs 40 crore, with EBITDA margin at -40%. In July 2023, wellness and beauty company VLCC, owned by Carlyle, acquired Ustraa at a 40% cut to its earlier valuation.

Acquired by Carlyle-owned VLCC in July 2023 at a 40% valuation cut; FY23 closed with Rs 97 crore revenue and Rs 40 crore of losses.

The exit price — a 40% valuation cut — is a concrete data point on what D2C growth-at-a-loss is worth in a funding downturn.

The FY23 numbers let you see the mechanism: ad spend at a quarter of expenditure bought 47% growth but a widening Rs 40 crore loss.

The competitive framing (corporate-owned peers out-scaling it) shows why the strategic sale became the rational path.

It is a dated, filed-facts outcome, not a projection — the deal happened in July 2023.

A D2C brand that grows 47% while spending Rs 1.42 per revenue rupee does not get a growth multiple at exit — it gets a marked-down sale to a strategic buyer with cash and shelf space.

As of 2023-11-15, Ustraa was under VLCC ownership, with FY23 closing at Rs 97 crore revenue and Rs 40 crore loss. The grooming category around it consolidated into corporate hands — The Man Company under Emami, Beardo under Marico — while Ustraa's sale marked one of the period's marked-down D2C exits.
