Wheel bought GoodRx Care's tech backbone for $19.5M to become health care's plumbing

Since 2020, Wheel provided GoodRx with its nationwide network of clinicians for GoodRx Care. CEO Michelle Davey said her clinicians' positive experience with GoodRx's electronic medical record tools heavily influenced what came next.

On November 10, 2022, GoodRx filed paperwork with the SEC for Wheel to acquire GoodRx Care's virtual care tech backbone for $19.5 million in cash. Under the licensing agreement Wheel gets GoodRx's tools for clinical management, patient engagement and medical records, while GoodRx keeps its consumer-facing website and app and continues providing telehealth on Wheel's tech and staffing.

The sale was expected to close by the end of the month. Davey said the deal comes as health tech faces 'a major inflection point' and speeds Wheel's ability to support more care models across urgent care centers and traditional providers.

The acquisition moves Wheel up the stack from clinician network to full infrastructure — software plus staffing.

Keeping GoodRx as a customer shows the asset is being bought for capability, not market share.
