Modus was a Seattle startup automating the title and escrow phase of closing on a home; Compass is a tech-fuelled real estate brokerage.

$14 million raised by Modus from NFX, Felicis Ventures, Liquid 2 Ventures and others; Compass's undisclosed 2020 acquisition price; Compass posted a $494 million loss in 2021.

Founded in 2018, Modus automated title and escrow for home closings and raised $14 million from NFX, Felicis Ventures, Liquid 2 Ventures and others. It was led by CEO and co-founder Alex Day, chairman and co-founder Jai Sim — both formerly of lunch delivery company Peach — and Abbas Guvenilir, who spent nearly six years at ServiceNow. Compass acquired the company and its 60-plus employees in 2020.

Two years on, Compass announced in a regulatory filing that it was shutting Modus among 'Strategic Actions' meant to "improve the alignment between the Company's organizational structure and its long-term business strategy, drive cost efficiencies... and continue to drive toward profitability and positive free cash flow." The same week it laid off about 450 people, roughly 10% of its workforce, amid a housing slowdown that also pushed Redfin to cut staff. Compass said it would continue offering title and escrow services without Modus.

Modus shut down in June 2022. CEO Alex Day called the decision "certainly surprising and challenging for our colleagues and customers" while celebrating that the team "built an industry-changing company from nothing in a few short years."

The macro trigger was rate-driven housing cooling — deal volume, the lifeblood of title and escrow, fell first.

Compass's own finances forced triage: a $494 million 2021 loss and a share price down from $20 at IPO to under $4.

Compass kept the capability (title and escrow services) while cutting the subsidiary — the automation, not the mission, was the casualty.

The 450-person layoff and Modus shutdown landed together as one cost-efficiency programme.

Acqui-hired verticals are the first cut when a platform retrenches: the technology survives, the subsidiary doesn't.

Modus shut down in June 2022, with Compass continuing to offer title and escrow services through other means. Compass had laid off about 375 employees in March 2020 and would keep retrenching toward profitability.
