develops in vivo gene therapies that reprogram a patient's own T-cells inside the body to attack cancer, skipping the extraction-and-re-engineering step conventional CAR-T needs

Lilly bets reprogramming a patient's T-cells inside the body, instead of extracting and re-engineering them outside it, is worth up to $7B

$50M Series A in 2022 led by Alta Partners, Horizons Ventures and Venrock

Kelonia Therapeutics launched from stealth in 2022 with $50 million in Series A funding led by Alta Partners, Horizons Ventures and Venrock, betting gene therapies could be delivered inside the body rather than engineered outside it in a lab.

Two years later, Kelonia entered a research and licensing partnership with Xyphos Biosciences, a subsidiary of Japan's Astellas Pharma, to develop immuno-oncology therapeutics using its in vivo gene-placement system. Its pipeline advanced to include a multiple myeloma treatment with promising clinical results, part of a broader wave of pharma paying up for in vivo platforms: Lilly had already bought Orna Therapeutics for up to $2.4B two months before the Kelonia deal, AbbVie bought Capstan Therapeutics for $2.1B that June, and Bristol-Myers Squibb bought Orbital Therapeutics for $1.5B that October.

Lilly agreed to acquire Kelonia for up to $7B — $3.25B upfront plus up to $3.75B in milestone payments tied to clinical, regulatory and commercial targets — the largest acquisition of a venture-backed private biotech in the past decade, per Crunchbase data.

Lilly had already bought two other in vivo platforms in the prior year, and AbbVie and BMS had done the same, so the market had validated the modality before Kelonia's price tag was set

Off-the-shelf in vivo dosing promises simpler manufacturing than extracting and re-engineering each patient's cells, a real cost and speed edge over existing CAR-T

Early clinical data on a multiple myeloma treatment gave Lilly a concrete result to underwrite, not just a platform promise

A pipeline that goes from stealth to a $7B exit in four years usually rode a wave other acquirers were already validating, not just its own data.

As of 2026-04-20, the deal was newly announced and not yet closed. Most of the $7B price — $3.75B of it — is contingent on Kelonia's therapies continuing to clear clinical, regulatory and commercial milestones now that Lilly controls the pipeline.
