What the business is
a Watertown, Massachusetts clinical-stage biotech developing drugs aimed at the chromatin-regulation (BAF) machinery in cancer
The bet
Foghorn bet that selectively blocking SMARCA2 would kill SMARCA4-deficient tumours (synthetic lethality), enough to anchor an up-to-$1.6B Lilly alliance.
Starting capital
2021 deal with Lilly's Loxo Oncology: $300M cash upfront plus an $80M equity investment at $20 a share, headline value up to $1.6B
How it started
In 2021 Foghorn signed a co-development and co-commercialization deal with Eli Lilly's subsidiary Loxo Oncology for its selective BRM (SMARCA2) oncology program, receiving $300 million upfront and an $80 million equity investment at $20 per share, with a headline value of up to $1.6 billion.
What happened
Its lead partnered drug, FHD-909 (LY4050784), was a first-in-class oral small molecule that inhibits SMARCA2's ATPase activity selectively over SMARCA4. In the Phase 1 dose-escalation trial it showed a favorable safety profile at exposures above preclinical targets, according to CEO Adrian Gottschalk, but the efficacy needed to advance did not follow.
How it ended up
On 2026-10-01 Foghorn said it would not extend the Lilly partnership, would not advance FHD-909 or a separate SMARCA2 degrader program, and would cut about 40% of staff, from 106 at the end of 2025 to about 65, for about $2.3M in charges.
What has to be true
The target engaged cleanly but the biology did not deliver: FHD-909 was selective and safe, yet synthetic lethality did not turn into enough patient benefit.
Most of the deal's headline value rested on later progress; the $300M upfront and $80M equity bought a shot, not an outcome.
The call came at Phase 1 dose escalation, less than five years after signing, so one early readout was enough to end the alliance.
With $167.6M in cash against a $659.5M accumulated deficit, Foghorn cut 40% of staff to stretch its runway to the second half of 2029.
What can be applied
A pharma alliance's headline number is optionality, not insurance: a drug can hit its target cleanly and still fail on efficacy, and the partner's exit takes the validation with it.
Aftermath
As of 2026-10-01 Foghorn says it will focus on its wholly owned pipeline: a selective EP300 degrader, a selective CBP degrader, an oral immunology and inflammation program and an induced-proximity platform, plus its Gene Traffic Control discovery platform. Investors are watching for updated cash guidance, confirmation that the layoffs finish in the fourth quarter, and early data from those programs, since the runway depends on them.
