What the business is
GrubMarket sells software and services linking food suppliers to customers; Butter was an AI SaaS turning voicemail and text orders into digital orders
The bet
GrubMarket can get AI order capture for food distributors faster by buying Butter than by building it, while Butter gains GrubMarket's customers and data
Starting capital
Terms undisclosed; Butter had raised $12.3M including a $9M Series A at about $39M post-money in November 2022
How it started
Butter launched in 2020 as vertical SaaS for small and medium food wholesalers, with voice-to-text and AI tools turning voicemails and text messages into orders. Chi and Li later decided to sell, reasoning that the moat was data and GrubMarket had all the data.
What happened
Butter reached out in March 2024, and by the end of April GrubMarket had completed the deal. Butter's eight-person team joined, and its AI-augmented chat commerce will strengthen GrubMarket's enterprise AI assistant GrubAssist and add an AI-enabled digital ordering module to GrubMarket's ERP. GrubMarket's CEO Mike Xu said its development resources were fully loaded elsewhere and that building an ERP needs heavy investment, which Butter's $12M could not fund.
What has to be true
Butter lacked distribution to scale its customer base on $12M of funding
GrubMarket's development resources were fully committed to other features
Butter had won a customer from GrubMarket and held a stronghold in seafood distribution
What can be applied
Butter's founder concluded the moat was data, not technology, so a startup with a good product but no distribution sold to the rival that already had both.
Aftermath
As of May 16, 2024 the acquisition was complete and Butter's eight-person team was joining GrubMarket, with integration under way.
