iRhythm is a Nasdaq-listed digital healthcare company whose Zio wearable biosensors and cloud analytics distill heartbeat data into clinically actionable information.

VitalConnect's 11-parameter wearable platform expands iRhythm into inpatient and hospital-to-home care without breaking its 15% EBITDA margin target for 2027.

$237.5M in cash plus up to 423,334 iRhythm shares issued at closing; $10.0M of working-capital funding provided to VitalConnect between signing and closing

iRhythm built its business on the Zio wearable and proprietary algorithms for ambulatory cardiac monitoring, and had agreed to acquire Vital Connect, a wearable-biosensor and ambulatory cardiac monitoring company, in a deal announced before October 2026 and funded from iRhythm's balance sheet.

Between signing and closing, iRhythm advanced VitalConnect $10.0M of working capital. On October 5, 2026 the acquisition completed: $237.5M in cash, subject to customary adjustments, plus up to 423,334 iRhythm shares issued at closing. CEO Quentin Blackford framed the combination as iRhythm's 'evolution toward a broader cardiac monitoring and intelligence platform.'

The deal moves iRhythm beyond its single-category Zio patch franchise into multi-vitals monitoring, a materially larger clinical footprint.

Financial discipline is explicit: revenue growth enhancement from 2027 with the 15% adjusted EBITDA margin target preserved, not traded away for growth.

VitalConnect's capabilities — 30-day wear, live look-in, 11 parameters, MCT — are complementary to Zio rather than duplicative.

Buying capability into inpatient and hospital-to-home settings is faster than building clinical credibility in those workflows organically.

Category leaders often buy adjacent capability rather than build it — the discipline to copy is keeping an explicit margin target intact while widening the clinical footprint.

As of October 5, 2026 the deal is closed: $237.5M cash paid, up to 423,334 shares issued, and $10M of working capital already advanced. Integration is beginning with VitalConnect's team joining iRhythm, and iRhythm plans to update 2026 financial guidance inclusive of VitalConnect on its November 5, 2026 third-quarter earnings call. The company expects revenue growth enhancement beginning in 2027.
