Paytm is India's digital payments major; in 2020 it moved to buy Raheja QBE General Insurance to enter insurance underwriting.

Paytm announced plans to acquire 100% of Raheja QBE General Insurance for Rs 568 crore around 2020, its route into underwriting general insurance. Founder Vijay Shekhar Sharma was to hold over 60% of the unit, Paytm Insuretech, funding his stake partly from proceeds of One97's offer for sale — a structure that had already required abandoning a planned Rs 743 crore loan to his investment entities, VSS Investco and VSS Holdings, right before the IPO.

The transaction never closed. In a stock exchange filing late on Sunday, May 15, 2022, One97 Communications said that because 'the share sale and purchase transaction has not been consummated within the time period envisaged by the parties', the agreement had 'automatically terminated'. Prism Johnson, holder of 51% of Raheja QBE, confirmed the termination to the BSE. What remained unclear was the fate of Swiss Re's October 2021 commitment to invest around Rs 920 crore ($127 million) for a 23% stake in Paytm Insuretech.

Paytm said it remains bullish on general insurance and would instead seek approvals for a new general insurance licence, planning to hold a 74% majority stake upfront; it already ran distribution licences through entities incorporated in 2018.

Regulatory approvals for insurer transfers run on their own clock — two years wasn't enough, and the clause did the killing automatically.

The IPO restructured the funding path (no more loans to founder entities), which likely complicated an already slow consummation.

Acquiring a regulated licence is slow bandwidth: plan the greenfield path in parallel, because deal timelines are not yours to control.

As of May 17, 2022, the acquisition stood terminated, Swiss Re's investment was unresolved, and Paytm was pursuing a new general insurance licence with a 74% holding while its distribution business continued.
