How it started

Founded during the pandemic by then-19-year-olds Aadit Palicha and Kaivalya Vohra, Zepto started with bicycle deliveries in Mumbai and scaled into one of India's fastest-growing quick-commerce startups.

What happened

In 2024 Zepto raised $1.3B and hyper-expanded, adding roughly 200 dark stores and launching Zepto Cafe and private-label Relish. 2025 was a stress test: a dark-pattern fee backlash forced a rollback, about 500 staff were cut in an automation-led restructuring, Zepto Cafe scaled back from dozens of cities, and monthly cash burn fell from INR 450–480 crore to about INR 100 crore while Blinkit and Instamart outspent it.

How it ended up

Still private and scaling. Zepto filed a confidential DRHP in Dec 2025, won SEBI approval and filed an updated ~$1B DRHP in June 2026, then chose a pre-IPO private placement in Aug 2026 and pushed the listing back; the company says it will list within two to three quarters.

Background

Two 19-year-old Stanford dropouts, Aadit Palicha and Kaivalya Vohra, started delivering groceries on bicycles in Mumbai during the pandemic and bet that India would adopt 10-minute delivery. Zepto's network of hyperlocal dark stores made speed the product itself, not a feature.

In 2024 the bet paid off in private markets: Zepto raised $1.3B, ending the year valued at $5B, then hyper-expanded into dark stores, cafes, and private labels. 2025 exposed the cost: a dark-pattern fee backlash forced a rollback, about 500 staff were cut in restructuring, Zepto Cafe was scaled back, and monthly burn swung from INR 450–480 crore down to roughly INR 100 crore while Blinkit and Instamart outspent it.

By Oct 2025 CalPERS led a $450M round at $7B, and Zepto filed for IPO. After SEBI approval and an updated ~$1B DRHP in June 2026, it paused the listing for a pre-IPO private placement expected at a $4.2–4.5B valuation — lower than its last private round — and said it would list within two to three quarters.

What has to be true

  • Ten-minute delivery only creates value if dark stores, riders, and demand density line up; Zepto made speed its core product rather than a feature.
  • The 2024 hyper-expansion bet on scale first and economics later, and 2025 showed how fast fees, layoffs, and burn can damage trust.
  • Competing with Blinkit and Instamart meant racing companies whose listed parents could raise unlimited capital.
  • Public-market investors valued Zepto at $4.2–4.5B against a $7B private round, a signal that growth alone no longer sets the price.

What can be applied

A speed promise only holds if unit economics and trust survive growth; when rivals with listed parents outspend you, fees and burn get exposed, and public markets price you below private rounds.

Aftermath

As of August 2026 Zepto is still private. It filed a confidential DRHP on Dec 27, 2025, received SEBI approval, and filed an updated ~$1B DRHP in June 2026, then paused the public listing for a pre-IPO private placement expected to close at a $4.2–4.5B valuation. The company reported Rs 5,681 crore in cash and no debt as of March 31, 2026, and says it will list within two to three quarters. It operates 1,000+ dark stores at about 1.7 million daily orders, trailing Blinkit and Instamart in India's quick-commerce market.
