起因
Formed in 2021 as a Baidu-majority joint venture with Geely, aiming to challenge Tesla in smart EVs. After failing to obtain a manufacturing license, the project was restructured with Geely taking the majority stake and relaunched as Jiyue; the Jiyue 01 went on sale in late 2023.
经过
The Jiyue 01 sold far below plan — 13,834 units in China from January to November 2024. On December 11, 2024 CEO Xia Yiping told employees the company had financial problems; news broke of an unpaid supplier and missing social security payments. Videos of Xia surrounded by staff demanding payment went viral, and on December 13 Baidu and Geely pledged to cover payroll and severance — but on December 16 they gave no sign of investing further.
结果
Collapsed as an operating company: the venture wound down in December 2024 amid a reported ~¥7B financial gap. In November 2025 Shanghai Jidu filed for pre-restructuring; on April 29, 2026 the Shanghai No. 3 Intermediate People's Court approved substantive consolidation restructuring of six affiliated companies, which are now recruiting strategic investors.
背景
极越成立于2021年，是百度与吉利的合资公司，目标在智能电动车领域挑战特斯拉，初期百度控股。项目未能获得生产资质后重组，吉利取得多数股权，以极越品牌重新推出。极越01主打'汽车机器人'，基于百度阿波罗自动驾驶，于2023年底通过直营店上市。
销量从未接近预期。2024年1月至11月，极越在华仅售出13,834辆，烧掉了母公司资本。2024年12月11日，CEO夏一平向员工承认公司陷入财务困境；同日曝出供应商欠款和社保未缴。夏一平被员工围堵讨薪的视频热传，12月13日吉利和百度承诺补发工资和遣散费。
到2024年12月16日，两家母公司均无进一步注资迹象，公司停摆，据报道资金缺口约70亿元。2025年11月，上海集度汽车向上海市第三中级人民法院申请预重整；2026年4月29日，法院批准六家关联公司实质合并重整，现正招募战略投资者。机器人汽车的赌注没能撑过创始人的耐心。
这件事要成立，得有什么
- 以智能化为差异点并不能掩盖销量不佳：月销约1300辆无法覆盖两大巨头合资公司的成本结构。
- 母公司均为战略投资者，没有单一股东觉得该为持续亏损负责——双方都可能抽身。
- 为取得生产资质而让吉利成为大股东，稀释了原有的AI汽车愿景，使其沦为普通高端电动车的竞争。
- 母公司的战略耐心而非产品决定了期限：百度暂停注资、吉利停止生产支持后，公司数日内崩溃。
- 高端智能品牌需要销量，或者一个能承受多年亏损的靠山；到2024年，极越两者皆无。
可借鉴之处

后续进展
截至2026年9月2日，极越处于法院监督重整中，而非运营状态。2024年12月停摆后，2025年全年寻求买家；36氪2025年8月报道重整谈判加速。2025年11月上海集度申请预重整，2026年4月29日，六家关联公司被裁定实质合并重整，现正招募战略投资者。百度和吉利承诺继续支持车主的售后和维修。品牌能否复苏，取决于是否有投资者愿意重建因2024年12月停摆而受损的信任。
